Creator Network Membership Terms

Last updated: October 8, 2026
Version 1.2

1. Who we are and what these terms cover

1.1 These terms (the "Terms") are between Speria Dynamics LLC, a limited liability company doing business as Speria Scaling, Boston, Massachusetts ("Speria Scaling", "we", "us"), and you, the creator who joins the Speria Scaling Creator Network (the "Network") ("you", "member").

1.2 You accept these Terms by ticking the box on our signup form at speriascaling.com/creators that says you agree to them. If you join for a company (for example, your channel's business), you confirm you can bind that company, and "you" includes it.

1.3 Speria Scaling builds and runs creator-led affiliate programs and produces UGC (creator-made video content) for software companies, mostly early-stage SaaS and AI startups (our "clients"). Our clients pay us, you don't.

2. What the Network is

2.1 The Network is a free, opt-in list of creators who want to hear first about exclusive early affiliate deals and paid UGC work from the tools we work with.

2.2 We're building the Network now. We can't promise how many deals there will be, how often they'll come, or that any deal will fit you.

2.3 We review signups. We may decline to add you, or decide not to offer you deals, if your channels aren't a fit for the tools we work with. We don't have to give a reason.

3. Who can join

3.1 You must be at least 18 (or the age of majority where you live, if higher) and able to enter into contracts.

3.2 The information you give us must be accurate, including your channels, audience size and views. Tell us when something important changes, such as a new main channel.

3.3 You must own or control the channels you list. They must not be bought, rented or inflated with fake followers, views or engagement.

4. Free membership, no obligation

4.1 Membership is free. We will never charge you to join, stay in, or receive deals from the Network.

4.2 You never have to accept a deal, join a program, promote anything or post anything.

4.3 The Network is not exclusive. You can promote any product you like, including tools we don't work with and competitors of our clients.

5. How early deals work

5.1 We offer deals for our clients. When a client launches its affiliate program with us, we may send you that client's early deal (a "Network Early Deal") before the program opens to everyone. Each offer will tell you the tool, what's included, the dates, and where to find the client's own affiliate program terms. Each client decides what it offers. A deal may include an early-access period, a higher commission for a limited time or a launch bonus, a free pro account, early or beta feature access, an exclusive discount code for your audience, launch assets, and a direct line to the client's team.

5.2 The client's own terms govern the deal. If you accept, you join that client's affiliate program under its own program terms. Those terms govern your commissions, bonuses, tracking, attribution, payouts, tax forms and conduct in that program. The client decides whether to approve you.

5.3 For affiliate deals, the client pays you, never Speria Scaling. Commissions, bonuses and any flat fees under a client's affiliate program are owed and paid by the client, directly or through its affiliate platform. Speria Scaling doesn't pay affiliate commissions to members and never receives or holds affiliate money owed to you. Tax forms for affiliate earnings (such as W-9 or W-8BEN) go to the client or its platform. Payment for paid UGC work is covered in section 5A.

5.4 Paid content needs a separate agreement. If a deal includes a flat fee for specific content, it will be in a separate written agreement between you and the client.

5.5 One tool per category at a time. We offer each member at most one tool in the same product category at a time (for example, one video editor or one voice tool). This doesn't limit what you choose to promote on your own.

5.6 More deals later. Joining one client's program doesn't end your membership. We may keep offering you deals from other clients, and we never offer you a direct competitor of a client while we're working with that client.

5.7 No guarantees. We don't guarantee any deal, approval, number of sales, commission or earnings. A client may change or end its program under its own terms.

5A. Paid UGC work

5A.1 UGC briefs are separate from affiliate deals. We may also offer you paid briefs to make videos for a client ("UGC Briefs"). You never have to accept one, and accepting or declining a UGC Brief doesn't affect the affiliate deals we offer you. In section 9, "deals" includes UGC Briefs.

5A.2 Every UGC Brief has its own written agreement. Before you film, you'll get a written agreement that states the deliverables, deadlines, revisions, fee, who pays you and when, and the usage rights: where and how long the content may be used, whether it may run as a paid ad or from your account, and whether raw footage is included. That agreement governs the work. Nothing is owed by either side until it's signed.

5A.3 Use it first, and say only what's true. You must use the product before you film, say only what's true about your own experience, stick to the brief's approved claims, and follow section 7 on disclosure for anything you post on your own channels.

5A.4 No sharing before launch. Treat anything you learn about a client's product through a UGC Brief as confidential under section 6.

5A.5 Speria Scaling pays you for UGC Briefs. Unless your UGC Brief agreement says otherwise, Speria Scaling pays the agreed fee by bank transfer within 7 days after the final deliverables are approved. Before your first payment, you'll give us a completed Form W-9, and we'll issue tax forms (such as Form 1099-NEC) when tax law requires. For now, paid UGC work is open only to creators based in the United States.

6. Keeping pre-launch information confidential

6.1 Early deals may include information that isn't public yet, such as unreleased features, launch dates, pricing, commission plans or beta access ("Pre-Launch Information").

6.2 You will keep Pre-Launch Information confidential, use it only to evaluate the deal and prepare your own content, and not publish or share it (including with other tool companies) until the client makes it public or tells you the embargo has ended.

6.3 This duty continues after you leave the Network until the information becomes public through no fault of yours. The client's own terms may add to it.

7. Honest content and FTC disclosure

7.1 Disclose every time. Whenever you post about a tool you got through the Network, clearly disclose your connection to it, as the US Federal Trade Commission's Endorsement Guides (16 CFR Part 255) require. That includes commissions, free accounts and early access, even if you haven't earned anything yet. In video, say it and show it at the start of the video or segment. A disclosure only in the description isn't enough. Put "Paid link" next to affiliate links. Follow the disclosure guidance in the client's program terms.

7.2 Only your honest opinion. Your content must reflect your honest opinion and real experience. Use the product before you endorse it.

7.3 No deal depends on being positive. No deal, bonus, membership status or future offer from us depends on you saying something positive, or rating or reviewing a product a certain way. You can decline a deal, or post honest criticism, and keep your membership.

7.4 Talk about what's shipped. After launch, describe the product as it actually ships. If you show a beta feature, say it's beta.

8. Claims you must not make

8.1 In content about any tool you got through the Network, you will not make:

  • income or earnings claims, such as "make $X a month", "passive income", "quit your job" or "start an agency with this tool", or show income screenshots;
  • claims about what the product or its AI can do that the client hasn't approved and backed with evidence, such as accuracy percentages, "100% accurate", "undetectable", "indistinguishable from human", "replaces your editor", or features that haven't shipped;
  • claims stronger than the client's approved claims list, which the client shares when you join its program;
  • fake reviews or testimonials, or synthetic avatars or cloned voices presented as real customers;
  • anything the client's program terms prohibit (for example, bidding on the client's brand name in search ads, or posting codes on coupon sites without approval).

8.2 If you email your audience about a tool, follow the CAN-SPAM Act: send only to your own opt-in list, with an unsubscribe link and a postal address.

8.3 If you break Sections 6, 7 or 8, we may stop offering you deals or remove you from the Network, and we may tell the client concerned. The client handles your place in its program under its own terms.

9. Your data and how we contact you

9.1 What we collect. The information on our signup form, public information about your channels and content, our notes on fit, and a record of the deals we've offered you and whether you accepted. If you take on a UGC Brief, we also collect the payment and tax details described in section 5A.5.

9.2 Why. To decide which deals fit you, to contact you about them, to send the monthly Network email ("Network Drop"), and to run and improve the Network.

9.3 Consent to contact. By ticking the consent box, you agree that we may contact you by email or direct message about early deals, paid UGC work and the Network. Every Network Drop includes an unsubscribe link. To stop all contact, use that link, reply "leave" to any Network email, or tell us through the contact form at speriascaling.com/contact. We'll stop within 10 business days at the latest and mark you as having left.

9.4 Where it's kept. In our website database (run by our hosting provider), our business email and our internal records, with access limited to Speria Scaling and contractors who help run the Network and are bound to keep it confidential. We use reasonable safeguards. Tax forms and bank details are never collected through the website. We keep them separately, with access limited to Speria Scaling.

9.5 Who we share it with. We share your details with a client only after you accept that client's deal or tell us you want one of its UGC Briefs, and only what the client needs to set you up or approve you for the brief (for example, your name, email, channels, audience details and portfolio). We don't sell your information, and we don't share it with clients whose deals or UGC Briefs you haven't said yes to.

9.6 Client programs. Once you join a client's program, the client and its affiliate platform collect and use your information under the client's own terms and privacy notice. We don't control that.

9.7 How long. We keep your information while you're a member and for up to 24 months after you leave, then delete it. We keep only a minimal record that you opted out, so we don't contact you again, and records we must keep by law. Payment and tax records for UGC work are kept as long as tax law requires, generally at least 4 years after the year of payment, even if you leave the Network.

9.8 Your requests. To see, correct or delete the information we hold about you, use the contact form. We'll respond within 45 days. Our Privacy Policy at speriascaling.com/privacy has more detail.

10. Leaving the Network

10.1 You can leave at any time by replying "leave" to any Network email or by telling us through the contact form.

10.2 We can remove you, or close the Network, at any time by email.

10.3 Leaving the Network doesn't end your place in any client's affiliate program and doesn't affect commissions a client owes you. Those are under the client's terms. Leave a client program separately with that client.

10.4 Sections 6, 8.3, 9.7, 9.8, 12, 13 and 14 continue after you leave.

11. Changes to these Terms

11.1 We may update these Terms. For changes that matter (for example, how we share your data), we'll email you at least 15 days before they take effect. Small fixes may take effect when posted.

11.2 If you don't agree with a change, you can leave before it takes effect. If you stay, the updated Terms apply from the effective date.

12. Our relationship

12.1 You're an independent creator. These Terms don't make you our employee, agent or partner, or create a joint venture. You can't make promises or sign anything for us or for any client.

12.2 We work for our clients, the tool companies. We are not your agent, manager or representative, and we don't negotiate on your behalf. When we discuss deal terms with you, we're acting for the client.

13. Responsibility and limits

13.1 You're responsible for your own content, your disclosures, and your compliance with the law and with each client's terms.

13.2 The Network is provided "as is". We're not responsible for a client's products, its program, tracking errors, or any failure by a client to pay you.

13.3 To the extent the law allows, neither of us is liable to the other for indirect or consequential damages or lost profits, and our total liability to you under these Terms is limited to $100. Nothing in these Terms limits liability that can't be limited by law.

14. Law and disputes

14.1 These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws rules.

14.2 Before starting any claim, contact us through the contact form so we can try to resolve it. If we can't within 30 days, disputes go to the state or federal courts in Suffolk County, Massachusetts, and both of us consent to their jurisdiction. Either of us may use small-claims court where it applies.

15. General

15.1 These Terms are the whole agreement between you and Speria Scaling about the Network. Each client's affiliate program terms, each signed UGC Brief agreement, and any separate agreement you sign with a client are separate agreements.

15.2 If part of these Terms can't be enforced, the rest still applies. Not enforcing a right isn't a waiver.

15.3 You can't transfer your membership. We may transfer these Terms if the business that runs the Network is transferred, or run the Network under another trade name of Speria Dynamics LLC.
